Welcome to Startabroad. As used in these Terms of Service (“Terms”), “Startabroad,” “Company,” “we,” “us,” or “our” refers to Midheaven LLC, a limited liability company organised under the laws of Georgia (the country).

Please read these terms carefully. They affect your legal rights, including a limitation of our liability and an indemnity you give us. These Terms, together with our Privacy Policy and our Refund Policy, govern your access to and use of the Site and the Services. If you do not agree to these Terms, do not access or use the Site or the Services.

1. Definitions

“Site” means startabroad.ge and app.startabroad.ge, together with any subdomain we operate. “Services” means the relocation-assistance services we make available through the Site, including AI-assisted drafting and human review of visa, residence-permit, and related government paperwork, and coordination of housing, insurance, and banking introductions. “Content” means any document, data, text, or other material you submit, upload, or transmit through the Site. “You” or “User” means the person or entity using the Site or the Services.

2. Eligibility

By using the Site or the Services, you represent and warrant that: (i) you are at least 18 years old and capable of forming a binding contract with us; (ii) you have not previously been suspended or removed from the Site; (iii) all information you provide to us is accurate, current, and complete; and (iv) your use of the Site and the Services complies with all applicable laws and regulations, including those of Georgia and of any country from which you access the Site.

3. The Services

We prepare relocation paperwork for Georgia: our AI systems draft and check documents, and a trained team member reviews every document before it reaches you or any authority. The Services are informational and administrative in nature. We are not a law firm, we do not provide legal advice, and no part of the Services creates an attorney-client relationship. Georgian immigration, tax, and other government authorities make their own independent decisions on every application, permit, and filing. We do not control those decisions and we do not guarantee that any visa, residence permit, work permit, bank account, insurance policy, tenancy, or other outcome will be approved, issued, or granted, or that it will be approved within any particular timeframe.

4. Accounts

You must provide accurate registration information, keep your login credentials confidential, and notify us promptly of any unauthorised use of your account. You are responsible for all activity that occurs under your account, whether or not you authorised it, except to the extent caused by our own breach of these Terms.

5. License you grant us

By submitting Content to us, you grant Midheaven LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process that Content solely as necessary to provide the Services to you, including sharing it with the AI providers, reviewers, and government authorities described in our Privacy Policy. You retain ownership of your Content. This license ends when the Content is no longer required for the purpose it was submitted for, subject to the retention terms in our Privacy Policy. You represent and warrant that you have the right to submit your Content to us and that it does not infringe or misappropriate any third party’s rights.

6. Payments and refunds

Prices are shown before purchase and are payable by SWIFT transfer to the account details we provide at checkout. A bundle or service is not scheduled until we have verified receipt of your payment. Refund and cancellation terms are set out in full in our Refund Policy, which forms part of these Terms.

7. Acceptable use

You will not, and will not attempt to:

  • submit false, forged, or misleading information or documents to us or through the Services;
  • upload Content you do not have the right to share, including another person’s identity documents without their authorisation;
  • probe, scan, disrupt, or overburden the Site, our servers, or our APIs, or interfere with any other user’s use of the Services;
  • reverse engineer, scrape, or use automated means to access the Site except as permitted by our robots.txt;
  • attempt to gain unauthorised access to any account, system, or network connected to the Site; or
  • use the Site or the Services for any purpose that is unlawful, fraudulent, or that violates a third party’s rights.

8. AI-assisted output

Our AI systems draft documents from the information you give us, and a human reviewer checks each document before it is delivered to you. AI-generated drafts can nonetheless contain errors, and human review reduces but does not eliminate that risk. You are responsible for reviewing your own details and any document we prepare for accuracy before it is relied upon or submitted to a third party on your behalf. Final responsibility for the accuracy and completeness of your application rests with you, and nothing in the Services relieves you of your own obligations to any government authority.

9. Third-party services

The Services rely on third-party providers, including AI processing providers, our payment provider, our hosting and storage providers, and Cloudflare, whose Turnstile product screens the Site’s forms for bots. The Site may also link to third-party websites we do not control. We are not responsible for the content, accuracy, or practices of any third-party service or website, and your use of them is governed by their own terms.

10. Intellectual property

The Site’s design, text, graphics, logos, and underlying software (together, the “Materials”) are owned by Midheaven LLC or our licensors and are protected by applicable intellectual-property laws. Except for the limited right to access and use the Site and the Services as intended, we grant you no right, title, or interest in the Materials. We reserve all rights not expressly granted in these Terms.

11. Termination

We may suspend or terminate your access to the Site or the Services at any time, with or without notice, including where we reasonably believe you have breached these Terms, provided any funds owed to you under our Refund Policy remain payable. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination — including Sections 5 and 9 through 18 — will survive.

12. Indemnification

You agree to defend, indemnify, and hold harmless Midheaven LLC and our officers, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or connected with: (i) your use or misuse of the Site or the Services; (ii) your breach of these Terms; (iii) Content you submit, including any inaccurate or fraudulent information; or (iv) your violation of any applicable law or a third party’s rights. We may assume exclusive defence of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with that defence.

13. Disclaimer of warranties

The site and the services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site or the services will be uninterrupted, error-free, or secure, or that any government authority will approve, issue, or grant any visa, permit, account, policy, or other outcome sought through the services.

14. Limitation of liability

To the maximum extent permitted by the laws of Georgia, in no event will Midheaven LLC or our officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including lost income, lost opportunity, or a delayed, rejected, or unsuccessful government application, arising out of or relating to your use of the site or the services, whether based on warranty, contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damage. This limitation does not exclude our liability for direct damages arising from our failure to perform the services with reasonable care and skill; such liability remains subject to the cap set out below. Our total liability to you for any claim arising from these terms or the services will not exceed the amount you paid us in the twelve months before the claim arose. This limitation does not apply to liability that cannot be limited or excluded under applicable law, including liability arising from our fraud, gross negligence, or wilful misconduct.

15. Governing law

These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws principles. You and Midheaven LLC agree to submit to the exclusive jurisdiction of the competent courts of Tbilisi, Georgia, for any dispute arising out of or relating to these Terms, the Site, or the Services, to the extent a court proceeding is permitted under applicable law. Nothing in this Section limits any mandatory consumer-protection rights you may have under the law of your country of habitual residence, to the extent such rights apply.

16. Changes

We may revise these Terms at any time. Revised Terms take effect when posted to the Site, and the version and effective date at the top of this page will change accordingly. If you do not agree with a revision, your sole remedy is to stop using the Site and the Services. Continued use after a revision takes effect means you accept the revised Terms.

17. General

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Midheaven LLC regarding the Site and the Services, and supersede any prior agreement on the same subject. Section headings are for convenience only and do not affect interpretation. You may not assign or transfer these Terms or any rights under them without our prior written consent; we may assign these Terms at any time without notice. Our failure to enforce a provision is not a waiver of our right to do so later, and a waiver of one breach is not a waiver of any other. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
